  For the long-term benefit of the relevant business and employees, Philips has made arrangements to transfer its remaining Mobile Phones business to CEC Corporation (“CEC”)(such transfer hereinafter “Transfer”). The Transfer will take effect on a date mutually agreed by Philips and CEC Corporation (the effective date of the transfer hereinafter “Closing Date”). At this time, it is our expectation that the Closing Date will occur on December 4, 2006.

  As part of the above-said development, the Mobile Phones business of Philips China Investment Co., Ltd. (“PCI”) will first be transferred to Philips Electronics (Shanghai) Co., Ltd. (“PESC”), presently a PCI subsidiary. PCI will then seek to transfer the shares of PESC to P-Marshall Hong Kong Limited (“P-Marshall HK”), presently a wholly owned Philips company. On the Closing Date, the shares of P-Marshall HK will be transferred to CEC Corporation to consummate the transaction.

  In connection with this, we seek to transfer to PESC your employment agreement with PCI, with no substantial change to the content of the employment agreement and with effect from and inclusive of December 4, 2006. Upon the transfer of the employment agreement, PESC will replace PCI as your employer, will assume all of PCI’s rights and obligations under the employment agreement, and will fully accept the years of service you have accumulated while under the employment of PCI.

  Based on the above, in anticipation of CEC’s need for further legal restructuring within the CEC Corporation following the Closing Date, you are hereby asked to consent to: (a) the transfer of your employment agreement from PCI to PESC; and (b) subsequent transfer(s) of your employment agreement within the CEC group of companies, under the conditions that the subsequent transfer(s) take place within twelve (12) months after the Closing Date and the compensation and employment benefits remain unchanged from the subsequent transfer(s).

  基于以上的情况,也考虑到CEC或有需要在成交日之后能进行下一步的法律重组,公司现要求你:(一)同意把你和 PCI 签订的劳动合同转给 PESC;及(二)同意在薪资福利保持不变的条件下,在成交日后12个月内发生的CEC内部的相关转移。

  In consideration for your above-said consent, and on the conditions of the Transfer being completed:

  作为你上述同意的交换条件,也在转移完成的前提下:

  (A) PCI will pay to you the following two payments:

  PCI将按以下方式分两次向你支付激励奖?:

  1. One and half (1.5) month of your base salary (an amount of RMB XXXXX Yuan), payable immediately after the Closing Date and subject to you not having given notice of your intention to resign on such date.

  如果你没有提出辞职申请,公司将在成交日后发放相当于一个半月基本工资的奖?(相当于人民币XXXXX 元)。

  2. One and half (1.5) month of base salary (amount of RMB XXXXX Yuan), payable within 30 days after the Closing Date, subject to: (i) you not having given notice of your intention to resign on such date, and (ii) the achievement by Philips Mobile Phones of the performance indicator as communicated to you by your management on November 2, 2006.

  如果 (i) 在成交日后的一个月内员工没有提出辞职申请,并且 (ii) 达成2006年11月2日管理层所沟通的飞利浦手机业务的目标,将再发放相当于一个半月基本工资的奖? (相当于人民币XXXXX元)(在成交日后30日发放)。

  (B) Furthermore, on the conditions that you have not tendered your resignation before the date of payment, CEC has given commitment to Philips that it will pay to you the legal compensation for the years of service you accumulated prior to the Closing Date. The compensation will be made in two installments:

  另外,CEC已经向飞利浦保证,你未在付款日前提出辞职,CEC将会为你在成交日前累积的工作年限向你支付年资补偿。这项預支付补偿将分两次支付:

  1. 50% will be paid with six (6) months after the Closing Date; and

  成交日后第六个月支付50%;

  2. the remaining 50% will be paid within twelve (12) months after the Closing Date

  成交日后第十二个月支付其余50%。

  PCI will remain responsible for the realisation calculation and payout of your annual performance bonus for the period of January 1, 2006 to the Closing Date. PESC is responsible for the period from (and including) the Closing Date.

  在转移后,PCI将继续负责员工在2006?1月1日至成交日的奖?计算及发放。PESC将负责成交日后(包括成交日)的奖?计算及发放。

  Please confirm your acceptance to the above by signing and returning the duplicate of this letter on or before Nov. 17, 2006, to HR, which is when the terms and conditions offered herein expires.

  鉴于上述条款的期限约定,请在11月17日前签名确认并返还两份协议书至人事部。

  I hereby consent to:

  (a) the transfer of your employment agreement from PCI to PESC; and

  (b) subsequent transfer(s) of your employment agreement within the CEC group of companies, under the conditions that the subsequent transfer(s) take place within 12 months after the Closing Date and the compensation and employment benefits remain unchanged from the subsequent transfer(s).

  本人在此确认:

  (一) 同意把你和 PCI 签订的劳动合同转给 PESC;及

  (二) 同意在薪资福利保持不变的条件下,在成交日后12个月内发生的CEC内部的相关转移。
